1. Introduction
These Terms and Conditions (the “Terms”) govern access to and use of the King Civils online portal and related systems (collectively, the “Portal”). The Portal is provided for authorised employees, workers, and contractors of King Civils and its group companies (“King Civils,” “we,” “us,” or “our”).
The Portal may provide access to internal resources such as timesheets, project information, communications, and support tools. Separate policies or terms may apply to specific modules or services; where they do, they form part of these Terms.
2. Acceptance of Terms
By accessing or using the Portal you agree to be bound by these Terms. If you do not agree, do not access or use the Portal. If you are accepting on behalf of a company or other entity, you represent that you have authority to bind that entity.
3. Eligibility & Access
- The Portal is for authorised personnel only. Unauthorised access is prohibited.
- Access may be role‑based and limited to the purposes of your work for King Civils.
- You must keep your contact details up to date and notify us promptly of any changes relevant to your access.
4. Accounts, Security & SSO
- You are responsible for all activity conducted under your credentials. Do not share passwords or authentication tokens.
- Where single sign‑on (SSO) or multi‑factor authentication (MFA) is enabled, you must use it as configured.
- Notify IT immediately if you suspect unauthorised use, loss, or compromise of your account or device.
- We may log and monitor Portal activity for security, audit, and operational purposes in accordance with our policies.
5. Acceptable Use
You must use the Portal lawfully and in accordance with internal policies. You must not:
- Attempt to gain unauthorised access, test or bypass security, or probe, scan, or overload the Portal.
- Upload or transmit malware, or content that is illegal, defamatory, infringing, or otherwise inappropriate.
- Use the Portal for personal commercial activity or any non‑work‑related mass messaging.
- Misrepresent your identity or affiliation, or impersonate another person.
- Copy, modify, distribute, or reverse engineer any part of the Portal except as permitted by law.
6. Data Protection & Privacy
We process personal data in connection with the Portal in accordance with our Privacy Notice and internal policies. For the purposes of UK data protection law (UK GDPR and Data Protection Act 2018):
- King Civils is typically the data controller of personal data processed via the Portal. In certain cases we may act as a processor for a group company or client.
- Personal data may include identity, contact, employment, device, usage, and audit log information. We use this for access control, security, administration, and service delivery.
- We implement appropriate technical and organisational measures to protect personal data, and we require our suppliers to do the same.
- Additional terms may apply to specific services or cross‑border transfers; these will be made available where relevant.
7. Confidentiality
Information accessible via the Portal may be confidential or commercially sensitive. You must handle it in accordance with your contract, company policies, and any confidentiality obligations. Do not disclose Portal content to unauthorised persons.
8. Intellectual Property
- The Portal and all related software, designs, and materials are owned by or licensed to King Civils.
- Content you upload in the course of your duties is owned by King Civils or its client, as applicable. You assign (or shall procure assignment of) any necessary rights to allow operational use within the business.
9. Third‑Party Services
The Portal may integrate third‑party services (e.g., identity, communications, storage). Your use of third‑party services may be subject to their terms; we are not responsible for those services, except where required by law.
10. Availability & Support
- We aim to provide robust availability but do not guarantee uninterrupted access. Planned maintenance or emergency work may affect availability.
- Support channels and service hours will be communicated separately (e.g., Service Desk, email, or ticketing tools).
- We may update, suspend, or remove features as needed for security, legal, or operational reasons.
11. Changes to the Portal
We may make changes to the Portal or these Terms at any time. Material changes will be communicated via the Portal or by email. Continued use after changes take effect constitutes acceptance of the updated Terms.
12. Suspension & Termination
- We may suspend or terminate access immediately if you breach these Terms, if required by law, or to protect the Portal and users.
- On termination, you must cease all use and return or delete King Civils information as instructed.
13. Disclaimers & Liability
- The Portal is provided on an “as is” and “as available” basis.
- To the maximum extent permitted by law, we exclude all implied warranties, and we are not liable for indirect, incidental, special, or consequential loss, loss of profits, data, or business interruption.
- Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot legally be limited.
14. Indemnity
You agree to indemnify King Civils against losses arising from your unauthorised or unlawful use of the Portal or breach of these Terms, except to the extent caused by our negligence or wilful misconduct.
15. Compliance & Export
- You must comply with applicable laws, including anti‑bribery, sanctions, and export control laws.
- Do not use or provide access to the Portal in embargoed countries or to prohibited parties contrary to law.
16. General
- Entire Agreement. These Terms (and any service‑specific terms or policies referenced) constitute the entire agreement regarding Portal use.
- Order of Precedence. If there is a conflict between these Terms and a signed contract with you, the signed contract prevails.
- Third‑Party Rights. No one other than King Civils and you has any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce these Terms.
- Assignment. We may assign or transfer our rights or obligations; you may not assign without our prior written consent.
- Severability. If any provision is invalid, the remainder remains in effect.
- Waiver. Failure to enforce a provision is not a waiver.
- Governing Law & Jurisdiction. These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
